VimpelCom and Telenor enter into strategic alliance

Open Joint Stock Company Vimpel-Communications («VimpelCom» or the «Company») (NYSE: VIP) and Telenor AS («Telenor») today announced that they have reached an agreement for Telenor to purchase a strategic ownership interest in VimpelCom.
Pursuant to the transaction, Telenor will acquire 25% plus one share of VimpelComs total voting stock in consideration for a total cash payment of approximately US$ 160 million, the full amount of which has been placed in escrow to fund the purchase of the shares. This capital infusion will be used by VimpelCom to develop its GSM licenses, fiber optic network and Internet services as well as other telecommunications projects. The issuance of such shares to Telenor and certain other aspects of the transaction will be subject to a ¾ majority approval by VimpelComs shareholders and various Russian regulatory approvals (including the State Antimonopoly Committee of the Russian Federation, the Russian Federal Commission on the Securities Markets and the Central Bank of Russia) as well as other customary closing conditions. The VimpelCom Board of Directors is recommending the terms of the transaction to VimpelComs shareholders and expects to hold a special shareholder meeting in late January 1999 to consider the matters requiring shareholder approval. Subject to obtaining necessary shareholder and regulatory approvals, the Company anticipates closing the transaction by June 1, 1999. The transaction also contemplates Telenor receiving three (3) out of nine (9) Board seats.

Telenor and VimpelCom will exchange technical know-how and marketing expertise pursuant to services agreements. VimpelCom is expected to benefit from Telenor's experience in penetrating and developing the cellular communications mass market and Telenor intends to benefit from VimpelCom's extensive engineering expertise. The parties believe that the combined expertise of the alliance will give VimpelCom the competitive advantage necessary to position itself as a leading telecommunications group in Russia and the CIS.
